Corporate Compliance and Secretarial Services

Annual returns, general meetings, share registry maintenance and the full statutory record, kept current on a calendar rather than in a rush.

Most compliance failures are not decisions. They are the result of nobody owning the calendar.

What is included

  • A compliance calendar prepared for your company, with reminders ahead of each deadline
  • Annual return and audited financial statement filing at the Office of the Company Registrar
  • Notice, agenda, attendance record, minutes and resolutions for the annual general meeting
  • Extraordinary general meetings when a decision cannot wait
  • Share transfer, allotment and capital change filings
  • Updating directors, registered office and objectives on the register
  • Maintenance of the share register and register of directors
  • Regularising companies that have fallen behind

Documents we will ask you for

Scanned copies are enough to begin. We will tell you which of these need notarisation, and which need legalisation if they originate outside Nepal, before you spend money on either.

  • Certificate of incorporation and current memorandum and articles
  • Audited financial statements for the year, or the trial balance if the audit is still in progress
  • Details of any change in shareholding, directors or registered office during the year
  • Previous year filings, if you have them

What you receive at the end

  • Filed annual return with acknowledgement
  • Complete minute book and resolution record
  • Updated statutory registers
  • A calendar for the year ahead

Questions about this service

Usually, yes. Missing years are reconstructed and filed in sequence, with the penalties that have accrued. It is more work than staying current, but it is far better than the alternative, which is discovering the problem during a bank application or a sale.

Yes, and it is generally the best arrangement. The accountant produces the numbers, we handle the statutory filings and the corporate record. The two jobs are different and the responsibility for the filing sits with the company.

It depends on the size of the company, the number of shareholders and how much movement there is during the year. We quote annually rather than per filing so the cost is predictable.

Describe the business, not the legal category. We will tell you which registrations and filings apply, what they cost and how long they take, before you commit to anything.
